1.1. The Program is designed to reward individuals who introduce potential clients for the purchase of real estate through licensed professionals (third parties).
1.2. ONLYBROKERS is a marketing and invitation platform: it records the client source, provides transparent attribution, and protects participants from abuse.

2.1. Partners are not real estate brokers/agents, and are not legal, financial, or investment advisers, and do not represent the Company.
2.2. A Partner’s role is limited to introductions: informing and directing a potential client via Platform tools (link/code/form/approved channels).
2.3. All property advice, negotiations, legal due diligence, document preparation, transaction support, and closings are performed by licensed third parties. The Company operates the Platform and/or acts as a marketing partner and does not provide brokerage services to Partners.
2.4. Partners are strictly prohibited from:
— taking, holding, or transferring money, deposits, reservations, cash, or crypto from clients;
— promising guaranteed income/profit/price appreciation or “risk‑free investment” outcomes;
— acting on behalf of the Company, signing documents, or presenting themselves as Company representatives;
— providing legal/tax/financial advice;
— using misleading advertising or hiding material terms.

3.1. Platform means the ONLYBROKERS website, account dashboard, and/or services.
3.2. Company means ONLYBROKERS MARKETING - FZCO (Platform operator).
3.3. Partner means an individual admitted to the Program and granted access to referral tools.
3.4. Project/Property means a specific real estate project/property listed on the Platform.

Client = phone number (strict)
3.5. Client ID means a phone number. A “client” in the system equals a phone number.
3.6. Two phone numbers equal two clients. Always.
3.7. Name, email, and any documents do NOT determine attribution/assignment. This is intentional: the Platform handles a large volume of requests and must apply uniform, objective rules.
3.8. We do not merge phone numbers. The Platform does not “combine” two existing Client IDs into one client.
3.9. Application means a client request/submission/action recorded by the Platform for a specific Project/Property.
3.10. Attribution/Assignment means the determination of which Partner a client is assigned to for a Project/Property, based on Platform data.
3.11. Statuses mean application statuses in the Platform (e.g., “Thinking”, “Active/Deal in Progress”, “Closed/No Contact/Not Interested/No”, “Free”; labels may vary).

Referral levels
3.12. Level 0 means your personal clients (clients assigned to you by the Platform).
3.13. Levels 1 / 2 / 3 … 8 mean Partners invited through the referral chain (Level 1 invited directly by you; Level 2 invited by your Level 1, etc., up to Level 8).

KYC/AML/Sanctions
3.14. KYC means identity identification/verification (Know Your Customer).
3.15. Initial KYC means a basic verification required to access certain Partner features.
3.16. Pro KYC + AML means enhanced checks prior to any payout (AML/sanctions/anti‑fraud, and where required, additional checks).
3.17. Sanctions Lists (TFS) means official targeted financial sanctions lists applicable in the UAE (including the UN Consolidated List and the UAE Local Terrorist List).
3.18. Restricted Jurisdictions means countries/jurisdictions whose passports/documents the Company does not accept for client or partner accounts due to compliance/sanctions/AML risk, including:
(a) FATF “High‑Risk Jurisdictions subject to a Call for Action” (counter‑measures); and/or
(b) jurisdictions restricted by banks/payment providers/business partners/law; and/or
(c) jurisdictions designated as Restricted Jurisdictions within the Platform (current version).
3.19. The Restricted Jurisdictions list may be updated. The current Platform version prevails.

4.1. The Program is strictly referral/invitation in nature.
4.2. The Program is not employment, representation, brokerage activity, MLM, or consulting.
4.3. Only 9 reward levels are permitted: Level 0 + Levels 1–8. Additional levels are prohibited.

5.1. The Company and/or parties involved in transactions/payouts may request checks and documents (KYC/AML/sanctions/anti‑fraud).
5.2. Until checks are completed, the Company may suspend access, statuses, attribution, accruals, and withdrawals.
5.3. Fraud/circumvention/forgery/manipulation results in blocking and cancellation of accruals.

5.4. Initial KYC (feature access)
5.4.1. Certain Partner features of the Platform (including, without limitation: activation/use of referral tools, access to advanced sections/statuses/analytics, limits and actions) are available only after Initial KYC is completed and requested documents are provided.
5.4.2. Initial KYC is required to:
(a) protect the Platform from fake accounts, bots, multiple accounts, forgery, and tracking manipulation;
(b) meet compliance requirements and business partner requirements;
(c) ensure consistent access rules without subjective “manual” decisions.
5.4.3. Initial KYC may include: phone verification, identity document (passport/Emirates ID or equivalent), selfie/liveness checks, and other anti‑fraud data.
5.4.4. Before Initial KYC, the Company may restrict functionality/limits or refuse participation.

5.5. Pro KYC + AML before payout (mandatory)
5.5.1. Before any payout/withdrawal/reward is received, the Partner must pass Pro KYC + AML checks (including sanctions and anti‑fraud screening) where required by a project, the payer, banks/payment providers, and/or compliance.
5.5.2. Pro KYC/AML may include: enhanced identity checks, beneficiary/bank detail verification, sanctions/PEP/restriction screening, and additional checks for higher risk cases.
5.5.3. Purpose of Pro KYC/AML: lawful and safe payouts; prevention of financial crime; protection of the Platform/Partners/business partners from freezes, penalties, and payout reversals.
5.5.4. Failure/refusal to pass checks or providing inaccurate information means no payout; accruals may be suspended or cancelled.
5.5.5. Checks may be performed by the Company and/or authorized providers/contractors.

5.6. Sanctions and Restricted Jurisdictions (passport restrictions)
5.6.1. The Company does not cooperate with or accept Clients and/or Partners if they:
(a) are sanctioned (confirmed match on Sanctions Lists); and/or
(b) use a passport/document issued by a Restricted Jurisdiction.
5.6.2. As of the Effective Date, Restricted Jurisdictions under the “counter‑measures” criterion include:
— Democratic People’s Republic of Korea (DPRK / North Korea)
— Iran
— Myanmar
5.6.3. These restrictions apply to both client and partner accounts (passports from such jurisdictions are not accepted).
5.6.4. If an automated system mistakenly allows registration/use with such a passport, then upon subsequent checks (including Pro KYC/AML before payout) the Company may:
(a) immediately restrict/suspend the account;
(b) refuse payout and/or cancel accruals;
(c) permanently block the account(s) without compensation if required by compliance/law/banks/partners;
(d) share relevant information with involved parties and/or competent authorities as permitted by law and the Privacy Policy.
5.6.5. The Restricted Jurisdictions list may be expanded/updated for compliance. The current Platform version prevails.

6.1. Rewards are distributed by levels:
• Level 0 (direct Partner): 3.0%
• Level 1: 1.0%
• Level 2: 0.5%
• Level 3: 0.5%
• Level 4: 0.2%
• Level 5: 0.2%
• Level 6: 0.2%
• Level 7: 0.2%
• Level 8: 0.2%
6.2. Reward Base. The Marketing Reward is calculated as a percentage of the full property Purchase Price / Contract Price stated in the SPA and/or confirmed at Closing (or another confirmed deal milestone where a project uses a reservation model). The base is the total contract price regardless of payment method, including installments/payment plans (i.e., it is not based on the amounts actually paid by the Closing date). If the contract price is amended/updated prior to Closing, the final confirmed price applies.
6.3. Income and payouts are not guaranteed and depend on actual closing and full compliance with these Rules.

7.1. The Platform records the client source, statuses, and attribution.
7.2. By default, the Company is not the payer of rewards unless the Platform explicitly states otherwise for a specific Project. Rewards are paid by the developer and/or another third party responsible for the deal/payout, under their terms.
7.3. Payouts are possible only after closing, confirmation, and completion of checks (KYC/AML/sanctions/anti‑fraud).
7.4. Force majeure/delays (construction, regulators, banks, etc.) may affect payout timing and procedure. The Company does not control deal funds but may reasonably facilitate issue resolution.

8.1. The Platform processes a large volume of applications. To ensure fairness: Platform logs are the only authority.
8.2. Chats/screenshots/“I know this client”/passport/email are not grounds to change assignment.
8.3. A client is assigned to a Partner for a Project based on the first recorded source event (link/code/form/approved channel).
8.4. Assignment is tracked separately for each Project/Property.

8.5. Client phone number change (no merging)
8.5.1. The Platform does not merge two existing Client IDs and does not “combine” clients.
8.5.2. The Company may consider an administrative phone number change (without merging) only if all conditions are met:
(a) the request is submitted via official Platform support/compliance channels;
(b) the new phone number does not appear in the application/assignment system (not involved in active processes);
(c) for the relevant Project, the client is released (no active hold) or the 30‑day period under Section 9 has elapsed;
(d) anti‑fraud/number verification checks are completed;
(e) the final decision is at the Company’s sole discretion.
8.5.3. Any attempt to use a “phone change” to bypass assignment/levels/anti‑fraud is a violation.

9.1. If a Project application is recorded with a no‑progress status including “Thinking”, “Closed”, “No Contact”, “Not Interested”, “No” (or equivalent), a 30‑day period starts from the date the status is recorded.
9.2. During the 30‑day period, the client remains assigned to the current Partner for that Project; reassignment is prohibited.
9.3. Repeated messages such as “still thinking / later / I’m busy” do not extend or reset the 30‑day period unless the Platform records new activity.
9.4. “Activity” means only a recorded status move to “Active / Deal in Progress” (or equivalent). External chats do not count.
9.5. After 30 days without Platform‑recorded activity, the application becomes “Free” (no active hold).
9.6. Important: “Free” does not mean the client automatically belongs to nobody. Assignment can change only if the client submits a new application via a new referral link/code of another Partner. If the client returns without a new referral link/code (direct visit/bookmark/normal visit), assignment does not “jump” by itself.
9.7. No manual reassignment.

10.1. Use the Platform lawfully and without misleading statements.
10.2. Submit leads only through the Platform.
10.3. Maintain confidentiality and obtain client consent for sharing contacts where required.

11.1. Fake leads, forgery, manipulation, bots, tracking abuse.
11.2. More than one account, linked accounts, and any circumvention schemes.
11.3. Groups/chains/teams designed to bypass levels are prohibited.

11.4. Family in the direct line = ban. You may not register/invite close family members into your direct line (i.e., make them your Level 1 via your link/code).
11.5. How to invite family correctly (permitted). If you want a family member to join, you must give them the invitation code/link you used yourself (your inviter’s code/link), so they do not enter as your direct Level 1.
11.6. If a family member appears in your structure not through your direct line, this is permitted unless there are signs of coordination/circumvention/fraud.
11.7. Sanctions include blocking accounts, cancelling accruals/payouts, reversing attribution, and notifying the payer and/or authorities where there are grounds.

12.1. If a deal is cancelled/terminated/refunded/charged back, the accrual/payout may be cancelled.
12.2. If a payout has already been made, it may be reclaimed and/or set off against future accruals.
12.3. The same applies for fraud, incorrect attribution, or sanctions/AML risks.

13.1. Prohibited claims include “guaranteed”, “risk‑free”, “I will handle everything”, “we guarantee income/price growth”.
13.2. The Company may require removal of any content that violates these Rules or creates risk.

14.1. The Partner must keep confidential any non‑public Platform information, attribution/anti‑fraud logic, Project terms, and payout terms.
14.2. Data processing is governed by the Platform’s Privacy Policy.
14.3. The Platform includes a public chat and a private (direct message) chat.
14.4. Private chat is not absolutely confidential: messages may be processed as permitted by these Rules, the Privacy Policy, and law.
14.5. Upon a complaint from a private‑chat participant (threats, fraud, extortion, blackmail, prohibited content, attempts to involve others in crime, etc.), the Company may review the relevant chat content to the extent necessary to investigate and prevent violations/crime.
14.6. Access to private chats is limited to authorized personnel (security/compliance/moderation) and only to the necessary extent.
14.7. Where required by law or upon lawful requests from competent authorities, the Company may share relevant data and logs as permitted by law and the Privacy Policy.

15.1. All rights in the Platform, brand, and materials belong to the Company and/or rights holders.
15.2. The Partner receives a limited right to use materials only for Program purposes and only in permitted form.
15.3. The Company may prohibit use and require content removal.

16.1. The Platform is provided “as is”.
16.2. The Company is not responsible for decisions/actions of developers, banks, licensed professionals, and other third parties.
16.3. To the maximum extent permitted by law, the Company is not liable for indirect damages or lost profits.

The Partner indemnifies the Company for losses/penalties/expenses (including legal fees) arising from Rule violations, unlawful advertising/spam, misleading promises, data/confidentiality breaches, fraud or circumvention.

18.1. The Partner is solely responsible for their taxes and reporting obligations where applicable.
18.2. The Company and/or the payer may request documents where required by law/compliance.

19.1. A Partner may terminate participation, including deleting their account.
19.2. Account deletion does NOT terminate referral ties or “reset” the structure. If the Partner re‑registers, referral ties/assignments remain unless the Platform/law provides otherwise or the Company decides otherwise for anti‑fraud/compliance reasons.
19.3. Confidentiality, liability, and clawback obligations survive termination.

20.1. The Company may update these Rules by publishing updates in the Platform.
20.2. Updates apply to future deals/accruals unless prohibited by mandatory law.

21.1. These Rules are governed by the laws of the United Arab Emirates.
21.2. Disputes are resolved in the competent courts of the relevant UAE jurisdiction unless mandatory rules provide otherwise.
